License Agreement

Parties:

1. ADC Cure (ADC), The Netherlands, Almere
2. The customer, that purchases or tests the software components made by ADC.

Please read this license carefully before you buy to prevent any misunderstandings!

Definitions:

Software: a COM or DotNet component or software package produced by NWC.

License information.

Component usage counting

ISP Session counts its own instances since it runs as a configured COM+ component. The more component instances you need in your component pool, the more licenses you would need. See below for the type of license that is most appropriate for you.

For upgrading a product or license, you just pay the difference in price between the old and new licenses.

Provision of the source (if appropriate for your license) allows your business to (re)engineer functions in the software in case NWC discontinues its services or to recompile the software to ensure that you are using trusted code.

License (a)

License for software: Maximum deployment for 2 session components in the component pool (COM+) per web server.

Websites share the same application (virtual) space

License (b)

License for software: Maximum deployment for 6 session components in the component pool per web server.

Websites share the same application (virtual) space

License (c)

Enterprise license (binary and source included) for an unlimited number of instances of session components for your web servers (per company!).

Each website can have its own application space by using a unique key.
You will be provided with the source code as well.

License (c) is for ISP's and ISV's or clients that host services for sub-clients (their clients)

If you represent a worldwide company, all licenses mentioned here are limited to a state (US only) or country. Example: Your company is in Germany and the USA, and both offices require the Enterprise edition - you need two Enterprise licenses.

Bulk License (d), integrate software into your own solution for third parties.

If you would like to integrate the software into your own solution that is sold as a complete package to a 3rd party (your client) you need to present this license to your client(s) as well. The client(s) should accept that they can use the software only as a part of your solution and not integrate it into their own projects without an appropriate license from NWC. The bulk license is in several possible offerings.
a. Country or statewide bulk license: Your clients are in your country
b. Continent wide bulk license: Your clients are in Europe or in North America only for instance
c. World wide bulk license: Your clients are in any country.

Liability, agreements and legal issues

When you buy or test this component or other software made by NWC you accept our policy described below.

(a) Usage at own risk

You use our component entirely at your own risk. We do not accept any liability for damage, loss of data/revenues, stability or any misfortune resulting directly or indirectly from the use of our software.

(b) Refund policy

Refund is possible only within 30 days of purchase date in addition; refund is possible only if we fail to fix a reproducible bug within 5 working days that has been discovered by you. Client is responsible for supplying sufficient system information for bug reproduction.

(d) Bugs and fixes 

We normally fix any confirmed critical bugs within 5 working days. You will receive an update by email. Non-critical bugs are fixed within 2 weeks. Non-critical bugs are defined as those that do not disable your website. Any bugs should be reproducible so that we can test them at our location. If the bug is not reproducible at our location, we cannot confirm the bug and therefore we cannot fix it. You can request service at your location or send us sufficient base information to have us reproduce the bug.

(e) Assisted support at your location

If you want us to research a possible problem at your location, the research time and travel costs will be charged to you. The fix for the bug will be free.

(f) Updates and update subscriptions 

You will receive free code updates for a year after you receive a copy of the code or component. Thereafter you will be offered an update subscription for the component. Fixes and compatible improvements within the build range are updatable at no cost. However, a charge might be made for distribution of new versions. If you purchased the component and decide to apply for the source code, you will only need to pay the difference in price. Please include your previous order number in your new order. The updates are sent to you by means of a mailing list. This will happen within 3 months after release. Minor, non-critical updates (e.g. from version 1.1.10 to 1.1.11) will not be distributed immediately.

(g) Intellectual property

The software has been developed by NWC. Any parts of the code that might be derived from authors are marked in accordance with their statements. To achieve advanced load balancing using our software, can only be achieved by acknowledging our statement of intellectual property. You are not allowed to redistribute, modify or sell the entire source code or parts thereof without our explicit permission. Reverse engineering or modification of the demo DLL is illegal.
